ทฤษฏีเกม เป็นแนวทางที่ใช้ในการเจรจาต่อรองที่มีการศึกษาและนำไปใช้กันในวงกว้าง
ทฤษฏีเกม สามารถเป็นเครื่องมือเพื่อใช้วเคราะห์และพยากรณ์พฤติกรรมของคู่เจรจา ปัจจุบัน ทฤษฏีเกม ถูกใช้ในทางการทูต เศรษฐศาสตร์ รัฐศาสตร์ และการบริหารธุรกิจ จำแนกออกเป็น 3 ลักษณะ
1. เกมศูนย์ (Zero sum game) เกมศูนย์ มักจะถูกใช้ในการวิเคราะห์จากเกมการพนัน มีคนได้ก็ต้องมีคนเสีย 2. เกมลบ (Negative sum game) เกมลบคือเกมที่เจรจาแล้วนำไปสู่ข้อยุติที่เป็นแง่ลบเสียทุกฝ่าย 3. เกมบวก (Positive sum game) เกมบวกคือเกมที่เจรจาแล้วนำไปสู่ข้อยุติที่เป็นแง่บวกทุกฝ่าย
ในการเทรด อาจจะเรียกได้ว่าเป็น Zero sum game มีคนได้ก็ต้องมีคนเสีย และบางกรณีหรือบางกลยุทธ์ อาจจะเป็น Positive sum game ขึ้นอยู่กับการตัดสินใจเลือกใช้กลยุทธ์
ยกตัวอย่าง สภาวะที่เรียกว่า Prisoner's Dilemma เป็นสถาณการณ์ที่มักจะเกิดขึ้นในตลาด เมื่อหน่วยธุรกิจในตลาดต่างเลือกที่จะดำเนินนโยบายตามกลยุทธ์นำ แต่ปรากฏว่าหน่วยธุรกิจแต่ละหน่วยจะอยู่ในสถาณการ์ที่ดีกว่าจากการดำเนินตามกลยุทธ์อื่นที่ไม่ใช่กลยุทธ์นำ

จากตาราง จะเห็นได้ว่า การยอมรับสารภาพเป็นกลยุทธ์นำของ A เพราะจะเป็นกลยุทธ์ที่ดีที่สุด A ไม่ว่า B จะปฏิเสธหรือสารภาพ ในทำนองเดียวกัน การยอมรับสารภาพก็จะเป็นกลยุทธ์นำของ B เช่นกัน เพราะจะเป็นกลยุทธ์ที่ดีที่สุดของ B ไม่ว่า A จะปฏิเสธหรือยอมรับ และเมื่อทั้งสองฝ่ายต่างเลือกกลยุทธ์นำคือ การสารภาพด้วยกันทั้งคู่ ผลก็คือ ทั้ง A และ B จะติดคุกคนละ 5 ปี แต่ถ้าทั้ง 2 คนต่างปฏิเสธไม่ยอมรับว่าได้ทำความผิด ทั้งสองคนจะติดคุกเพียงคนละ 1 ปี เท่านั้น อย่างไรก็ตาม โอกาสที่ต่างฝ่ายจะปฏิเสธข้อหาเป็นสิ่งที่ยากจะเกิดขึ้น ทั้งนี้เนื่องจากผู้ต้องหาแต่ละคนต่างเกรงว่า ถ้าตนไม่ยอมรับสารภาพแต่อีกฝ่ายยอมรับสารภาพตนจะติดคุก ถึง 10 ปี ดังนั้น เมื่อทั้งสองฝ่ายต่างไม่ไว้ใจซึ่งกันและกัน เนื่องจากไม่มีโอกาสที่จะได้พบปะตกลงกัน ผู้ต้องหาแต่ละคนก็จะเลือกกลยุทธ์นำที่เป็นกลยุทธ์ที่ดีที่สุดสำหรับตน คือการยอมรับสารภาพและติดคุกคนละ 5 ปี ทั้ง ๆ ที่การปฏิเสธจะเป็นผลดีแก่ทั้งสองฝ่ายมากกว่า
